Belgrade-based Avio Network buys Jat Tehnika

The private Belgrade-based company Avio Network will become the new owner of Jat Tehnika, Tango Six has learned.

According to the business transaction, which will be completed after regulatory approvals, Avio Network will own 99.3834% of the largest civil aircraft maintenance company in the former Yugoslavia.

The transaction is expected to be completed in the first quarter of 2026.

As Avio Network told the portal, a few days ago an agreement was signed to purchase an ownership stake (SPA – "Share Purchase Agreement") in Jat Tehnika.

They emphasize that the transaction is conditional on obtaining all necessary regulatory approvals, including the consent of the Competition Protection Commission, as well as meeting other conditions for its completion.

– The proposed takeover aims to improve Avio Network’s capacities in the field of maintenance, overhaul and technical support of passenger aircraft, as well as expanding the offer of these types of services to clients. Also, the purchase of a stake in Jat Tehnika represents a significant step towards strengthening our capacities and our long-term growth strategy – said Marija Dozet, CEO of Avio Network.

The Avio Network company is based at the Nikola Tesla Airport and has been operating since 2017, when they began their activities in the niche activities of washing and cleaning passenger aircraft.

As the company’s founder Ales Luci tells Tango Six, his plan has always been to expand their activities to include aircraft maintenance, so during the Corona period they began preparations for obtaining a permit for towing and pushing out aircraft, the company’s first activities in the field of MRO services and ground handling:

– The procedure took about a year and was successfully completed in front of the Serbian civil aviation authorities in early 2022. We also began preparations in 2021 for opening a line station for line aircraft maintenance. Significant investments in equipment and people were required.

In mid-2022, we will successfully open the line part 145 station. For all operations, our company has all the required licenses from the competent aviation authorities of Serbia and the EU – says Luci and lists the national airline Air Serbia as the first clients in the line maintenance segment, as well as others: Leav, DAT, “Easy Jet,” “Lumiwings” and San Marino.

The company will receive its own national certificates in 2023. The “Avio Network” “capability” list for line maintenance currently includes: ATR (42-400/500/ 72-212A – PWC PW120), Airbus (A319/A320/A321 – IAE V2500/CFM56 and A330-200/300 – RR Trent 700) and Embraer (ERJ-190-100/200 – GE CF34). They are planning to invest in staff training and the purchase of tools for Boeing aircraft soon.

– Avio Network currently has 90 employees. Aircraft mechanics, engineers, maintenance planners and administrative staff. Two years ago, we also started internal training, in the first batch of 30 aircraft mechanics, with modular courses for various types of B1 and B2 aircraft licenses – says Luci.

Jat Tehnika was privatized in November 2019. At that time, the state sold 99.3834% of its share to the Avia Prime consortium from Prague. In addition to Avia Prime, the competition also included the company SR Technics from Switzerland, which has been present in Belgrade since 2015 through its “back-office.”

At that time, Avia Prime owned two MROs, the Polish Linetech and the Slovenian Adria Tehnika.

The owner of 72% of Avia Prime since 2017 is the Czech financial fund Hartenberg Holding, which in July last year took over Adria Tehnika from Avia Prime, which is withdrawing from the ownership of the Slovenian MRO. Hartenberg sold Adria Tehnika to Easy Jet a few weeks ago.
