Business Registers Agency initiates procedures of forced liquidation – List includes over 1,500 companies

The Business Registers Agency has announced that it has started implementing the provisions of the Companies Law which proscribe forced liquidation of business entities, which means that the Business Registers Agency will, in official capacity, initiate the procedure of forced liquidation in all business entities in which there is a legal basis for it.

The Business Registers Agency database currently lists between 1,500 and 1,600 business entities which meet the legal criteria for initiating the procedure of forced liquidation, and as they say, since October 20, around 800 business entities have been moved to the status of forced liquidation.

– The aim of the implementation of this institute is to have an up-to-date register, so that those not operating in line with the law are excluded from legal transactions and for the operations within the business sector to be legal – says Ruzica Macukat of the Business Registers Agency.

Among the reasons for initiating the forced liquidation in a company are a lack of registered lawful representative, invalidity of the founding act or invalidity of registration determined by a final court decision, as well as non-compliance with the Companies Law.

– The information system of the Business Registers Agency generates data on business entities which can be moved to the status of forced liquidation on any basis proscribed by law every day. Of the 1,500 to 1,600 such business entities have been moved to the status of forced liquidation so far – Macukat says and adds that the majority of these are practically non-existent, non-operating companies.

– If the business entities with the “forced liquidation” status fail to address the problems that have caused them to acquire this status, they are to be deleted from the register following the expiration of the period of one year from the initiation of the forced liquidation process at the Business Registers Agency – she explains.

She emphasizes that potential creditors of these business entities have an option of collecting their claims from the members of the companies in court procedures.
